EnjoyHappyLife Limited (EHL) Terms and Conditions
Effective Date: January 10, 2025
Purpose: These terms define the relationship between EnjoyHappyLife Limited (EHL) and its independent customers, members, and affiliates, outlining rights and responsibilities. These terms apply to all registered users of EHL.
Key Aspects for Customers, Members, and Affiliates
1. Code of Conduct:
Obligations:
§ Act ethically and professionally.
§ Sell products as per the compensation plan.
§ Emphasize product purchases as the basis for success, not recruitment.
§ Represent the compensation plan accurately.
§ Be truthful about product claims.
§ Comply with consumer protection laws.
§ Keep personal information current.
Prohibitions:
§ Deceptive, unlawful, or unethical practices.
§ High-pressure selling or recruiting.
§ Misleading sales or earnings claims.
§ Enrolling minors or incapable individuals.
§ Conducting business in unapproved countries.
§ Manipulating sales volume for bonuses.
§ Violating EHL policies.
2. Becoming a Customer, Member, or Affiliate:
§ Eligibility: Must be of legal majority age (usually 18).
§ Authorization: Rights and operations begin upon submitting required information on the website.
§ Company Rights: EHL can accept, renew, or deny any application.
§ Verification: May require proof of residency and ability to conduct business.
§ No Purchase Requirement: No mandatory product purchases to maintain status.
§ Business Entities: Must provide entity ID and Beneficial Interest information.
§ Identification Number: Required for tax purposes (where applicable).
§ Inaccurate Info: May lead to termination or voided agreement.
§ Term: Contract is valid for one month and automatically renews with active status.
§ Non-Exclusive Territory: No exclusive rights are granted.
3. Obligations and Managing Status:
§ Compliance: Must adhere to all terms and conditions of the agreement.
§ Independent Contractor:
§ Responsible for own business expenses and actions.
§ Not an agent, employee, partner, or joint venture of EHL.
§ EHL does not dictate work hours, expenditures, or plans.
§ Responsible for all statements made about products or the compensation plan.
§ Legal Compliance: Must comply with all applicable laws and regulations.
§ Approved Offerings: May not promote non-approved plans or sales tools.
§ Retail Sales: Achieving success requires consistent retail sales of products, as well as a downline organization.
§ Negative Statements: Must not make disparaging statements about EHL, its products, or competitors.
§ Unethical Activity: Must not engage in unethical activities including credit card misuse, confidential information misuse, cross-company recruiting, unapproved claims, or discrediting behavior.
§ Dispute Resolution: Upline leaders should resolve disputes. Private resolution in the best interest of the company is required.
§ No Claims of Special Relationship: Cannot claim a special relationship with EHL executives or employees.
§ Detrimental Conduct: EHL may take action for harmful behavior.
§ No Reliance on EHL for Advice: EHL does not provide legal, tax, or financial advice.
§ Insurance: EHL encourages consulting an attorney regarding personal liability.
§ Privacy: EHL may disclose contact information to downline organization.
§ Notification of Adverse Action: Must notify EHL in writing of any potential legal claims from third parties. EHL has right to take action to protect itself.
§ Use of Photo, Audio, or Video Image, and/or testimonial Endorsement: Customer, Member or affiliate consents to EHL to use their photos, audio or video or written statements for all media and marketing purposes.
§ International Business: Right to operate in authorized countries; must comply with local laws. Approval needed for international expansion on EHL’s behalf.
4. Compensation:
§ No Guaranteed Earnings: No guaranteed commissions or income. All content on the website should be considered for demonstration purposes only and should not imply expected commission payouts.
§ Commissions Based on Sales: Paid to qualified affiliates based on product orders or membership purchases.
§ Commission Payments: Paid to the listed person or entity. Resend without additional charge if payment returned.
§ Minimum Payment: Minimum of $20 USD (or equivalent); payments below accumulate.
§ Returned Payments: Unpaid payments held for 90 days, then subject to a monthly maintenance charge.
§ No Manipulation: Manipulation of the compensation plan is prohibited.
§ Deductions and Offsets: EHL may deduct fees as outlined in the Payment Options page.
5. Ordering Company Products:
§ No Minimum Inventory Requirement: Affiliates must determine their inventory needs based on their expected personal use.
§ Ordering: Products ordered online via the website.
§ Sales Tax: EHL collects sales tax based on the destination of the products, unless the affiliate is a registered withholding agent, and holds a valid exemption certificate.
§ GST/VAT: Collected on the purchase price; EHL provides GST/VAT numbers and invoicing.
Returns, Refunds, and Exchanges:
§ First product purchase returns receive 100% refund (less shipping/handling) within 30 days, but any commissions paid to the upline will be clawed back.
§ Product exchanges if damaged, incorrectly sent, or of substandard quality.
6. Marketing the Product and Opportunity
§ Approved Sales Tools: Must use only EHL-approved sales tools.
§ Sales Tool Approval: Submit sales tools to EHL for approval (3+ weeks).
§ Product Claims: Only allowed to use claims made by the company. Cannot make health or medical claims beyond what is company approved.
§ No Altering Products: Cannot alter or re-label products.
§ No Endorsement Claims: Cannot imply EHL has governmental approval unless stated on the website.
§ Income Claims: Prohibited from making misleading or false income claims.
§ Trademarks and Copyrights:
§ Must follow licensing agreements for trademarks.
§ Cannot use company trademarks in business names, email addresses, websites, etc. without permission.
§ Must not duplicate company literature or media.
§ Use of "Independent Customer, Member, or Affiliate": Must identify oneself as an "EHL Independent Customer, Member, or Affiliate" when using the company's name or logo.
Advertising Methods:
§ Limited guidelines for newspapers, phone directories, email.
§ Television and radio require prior approval.
§ Use of a celebrity requires written approval from both EHL and the celebrity.
§ Fairs, swap meets, etc. products may only be sold for more than the affiliate price.
§ Internet auction sites may be used if the reserve price is above the affiliate price.
§ Advertising at EHL Events: Cannot promote non-EHL items at EHL events without express consent.
§ Internet Advertising: Product promotion must be done through a company licensed website. There are limitations on keywords and meta tags. Promoting on social media must not include product or income claims, and must include the disclaimer that you are an independant affiliate.
§ Advertising and Selling Price of Products on the Internet: Selling on the internet must only be done via a licensed website, and products must be sold for at least the affiliate price plus shipping and taxes. Cannot sell products purchased from other affiliates.
§ Mass Communications: Rules for mass communication to downlines include opt-in, opt-out (email) and disclaimer when promoting building methods.
§ Lead Distribution: EHL will attempt to refer leads to specific affiliates, but final judgement is theirs.
§ Public Relations: EHL encourages personal media coverage, but requires contact with the company for stories of national potential, wide company perspective, or questions on sales figures.
§ Retail or Service Establishments: Products and opportunities may be promoted, but the display must clearly indicate the affiliate status, and the price must be no less than the affiliate price.
7. Breach of Contract Procedures:
§ Conditional Obligations: EHL's obligations depend on the affiliate's compliance.
§ Remedies for Breach: May include notification, demands, withholding recognition or commissions, temporary/permanent suspension, injunctions, termination, and recovery of damages.
§ Reporting Violations: Must be reported to EHL by email (or phone)
§ Time Limits for Reporting: Cross-company recruiting must be reported within 6 months, and other violations within 18 months.
§ Circumvention of the Contract: Intentionally circumventing the contract to indirectly accomplish what is directly prohibited will be disciplined as a breach of the contract.
8. Termination:
§ Affiliate Termination: Can terminate by requesting in writing, calling support or using the back office of the website.
§ EHL Termination: EHL may terminate for breach of contract.
§ Effects of Termination: May retain or dissolve downline. Must return/delete all confidential information. EHL may stop the buy-back process for breach.
§ Termination for Breach: Must wait 6 months before reapplying, may forfeit unpaid commissions, downline organization may be reorganized.
§ Voluntary Termination: Can rejoin at any time under new enroller. Cannot terminate voluntarily if the membership is not in good standing.
9. Miscellaneous:
Entire Agreement: This agreement is the complete understanding and supersedes all prior agreements. Written terms prevail over verbal representations.
Headings: Headings are for convenience only.
Modifications: EHL can modify with 30 days notice (posted on website or via email).
Warranties: EHL extends no product warranties beyond those specified in the agreement.
Waiver: Any waiver must be in writing.
Severability: Invalid terms will not invalidate the rest of the contract.
Force Majeure: EHL is not liable for delays due to circumstances beyond its control.
Governing Law: Governed by Nigeria Law. Disputes are handled through arbitration in Nigeria.
Attorneys Fees: Prevailing party in disputes recovers reasonable attorneys’ fees.
Successors and Assigns: Agreement is binding for all parties, their heirs, or assignees.
Limitation of Liability: Liability is limited to the amount paid for resalable products purchased from EHL.
